SUBSCRIPTION AGREEMENT

This Subscription Agreement ("Agreement") is made by and between SimpleElement.Live ("Company"), and the undersigned subscriber ("Investor").

Subscription: The Investor agrees to purchase shares of common membership units ("Units") for an aggregate subscription price not to exceed $5,000 USD per Investor, payable in full upon execution of this Agreement.

Representations and Warranties of the Investor: By accepting this Agreement, the Investor represents and warrants that:

(a) The Investor is a bona fide resident of the State of South Carolina and will remain so for the duration of the holding period required under applicable state and federal securities laws.

(b) The Investor understands that resale or transfer of these Units is restricted and, for six (6) months following purchase, any resale shall only be made to other South Carolina residents.

(c) The Investor has reviewed the Company's Offering Memorandum, Risk Factors, and understands this is a speculative investment with no guaranteed return and no guaranteed liquidity.

(d) The Investor is purchasing the Units for the Investor's own account and not for transfer or resale except as permitted under the SC Intrastate Exemption.

(e) The Investor has the financial ability to bear the complete economic risk of this investment, including a total loss.

(f) The Investor has relied solely on the Offering Memorandum and this Agreement in making this decision.

Acceptance and Closing

The Company may accept or reject this subscription, in whole or in part, in its sole discretion. This subscription shall only be deemed accepted upon execution by an authorized representative of the Company.

Upon acceptance, the Investor shall remit payment in accordance with the instructions provided by the Company. The Company may choose to use a third-party escrow agent or company account as appropriate under South Carolina law.

Refunds: If this subscription is rejected, all funds received from the Investor shall be promptly returned, without interest.

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of South Carolina.
